摘要

中国经济的发展与国内房地产行业发展之间存在密切的关联性,因此房地产行业也成为许多社会资本关注的热点。最近一段时间以来,中国政府针对房地产行业出台了一系列严格的监管政策,使得房地产行业的从业企业面临更加严峻的竞争环境,为此,许多房地产企业开始积极转变融资策略,希望寻求新的融资渠道,其中一个重要选择就是房地产投资信托基金 (REITs),这种融资方式最早出现在上世纪中叶,除了具有金融基金的基本属性以外,还与房地产行业的各项业务具有密切关联性。因此在西方国家较为普遍,但是在国内的发展长期处于停滞状态。C公司REITs是国内资本市场早期的代表性公募型房地产投资信托基金,长期来未出现明显的市场经营风险,并且其基金自身的净值增长率等指标也保持逐年递增的良好趋势,这也吸引了众多研究人员针对其融资经验和风险管理经验展开详细分析。全文研究工作将案例分析的对象选定为C公司REITs,借助于对该信托基金融资效果以及风险管理策略的优势和不足进行深入分析,希望能够为资本市场其他公募型信托基金开展类似工作提供一些指导。具体的,本文首先对目前国内外涉及REITs的相关研究资料进行系统综述,然后引出C公司REITs案例分析的主要背景;借助于层次分析法等多元化分析手段,深入剖析了上述研究对象在开展风险管理方面的具体做法以及其融资效果等;最后,从公募REITs结构设计、REITs国内标准制定等方面提出了一系列具有可操作性的优化建议,旨在能够推进国内REITs健康可持续发展。

The development of China‘s economy is closely linked to the domestic real estate industry, making it a focal point for many social capitals. Recently, the Chinese government has introduced a series of strict regulatory policies targeting the real estate sector, leading to a more competitive environment for companies operating within the industry. In response, many real estate firms have begun actively transforming their financing strategies, seeking new channels for funding. One significant option they consider is Real Estate Investment Trusts (REITs), a financing method that first emerged in the mid-20th century. Besides sharing the basic attributes of financial funds, REITs are also closely associated with various operations within the real estate sector. Therefore, they are quite common in Western countries but have long been stagnant in their development domestically.Company C‘s REITs represent an early and typical publicly offered real estate investment trust fund on the domestic capital market. Over time, it has not exhibited significant market operational risks and has maintained a trend of annual growth in net asset value, attracting numerous researchers to conduct detailed analyses of its financing experience and risk management practices.This comprehensive study focuses on Company C‘s REITs as a case study, aiming to provide guidance for other publicly offered trust funds in the capital market by analyzing the advantages and disadvantages of its financing effectiveness and risk management strategies. Specifically, the paper begins with a systematic review of current domestic and international research on REITs, followed by an introduction to the main context of the case analysis of Company C‘s REITs. Using analytical hierarchy process and other diversified methods, the study delves into the specific practices of risk management and financing effects of the subject. Finally, it proposes a series of actionable optimization suggestions, including the structural design of publicly offered REITs and the establishment of domestic standards for REITs, all aimed at promoting the healthy and sustainable development of domestic REITs.
