摘要

股权激励作为一种有效的激励手段一直被各个行业的企业所使用,由于企业所处方向不同,阶段不同,行业不同,激励的手段也不尽相同。股权激励可以让员工产生极大的归属感,使员工的利益、管理团队的利益同公司的发展紧密绑定在一起,向着共同的目标前进,促进企业良性发展。为保障股民的利益,中国证券监督管理委员会于2016年出台了《上市公司股权激励管理办法》对上市公司的股权激励进行约束与管理。相比较上市公司,对于创业公司和广大中小企业这个非上市公司群体并没有相关政策法规可以遵从。但实际我国中小微企业占全国企业总数的99.7%,由于这个群体数量之庞大,因此探索一条适合非上市企业的股权激励方案变得尤为重要。T公司处于创业公司的快速发展阶段,所在IT行业,短期内没有上市计划。公司存在激励措施不足、薪酬缺乏竞争力、员工归属感不强等问题,由此引发了公司发展遇到瓶颈。本论文通过对股权激励相关理论的研究,结合非上市企业的行业特点,以T公司为具体案例进行企业股权激励的研究与分析。最后拿出T公司的股权激励具体方案,并成立持股平台用于股权激励。当然,此方案虽然对于小微企业非上市情况下的股权激励方案设计有一定的借鉴意义,但仍存在诸多限制因素与不足之处,其它企业还是应该根据自身实际情况进行方案设计。关键词:股权激励;非上市;中小企业;创业公司;持股平台

As an effective incentive means, equity incentive has been used by enterprises in various industries. The ways of incentive are different for enterprises in different directions, stages and industries. Equity incentive can make employees have a great sense of belonging and closely bind the interests of employees and management team with the development of the company. So as to encourage them to move towards to the same goal and promote the rapid development of the enterprise.In order to protect the interests of shareholders, The state has issued relevant laws and regulations to restrict and manage the equity incentive of listed companies. Compared with listed companies, there are no relevant policies and regulations to comply with for start-ups and small and medium-sized enterprises. However, in fact, China's small, medium-sized and micro enterprises account for 99.7% of the total number of enterprises in China. Due to the large number of this group, it is particularly important to explore an equity incentive scheme suitable for non listed enterprises.T Company is in the stage of rapid development of a start-up company. In the IT industry, they have no listing plan in the short term. The company has the problems of insufficient incentive measures and low enthusiasm of employees, which leads to the bottleneck of the company's development.Through the research on the relevant theories of equity incentive, combined with the industry characteristics of unlisted enterprises, this paper takes T Company as a specific case for in-depth research and analysis. Finally, it comes up with the specific equity incentive scheme of the company. And set up a shareholding platform for equity incentive.Of course, although this scheme has certain reference significance for the design of equity incentive scheme for small and micro enterprises in the case of non listing, there are still many restrictive factors and deficiencies.
