本文通过对股权激励原理的研究和企业实际情况的分析,提出了威视股份公司股权激励的方案,并对方案进行了分析和选择。本文首先介绍了威视股份公司的基本情况和公司激励方面的基本情况,接着抽取了能够代表企业人员结构的52位员工进行问卷调查研究,发现了企业在激励方面存在的若干个特点和问题:存在着长期激励不足的问题;有建立有效的激励约束机制以统一企业和员工的利益的必要性以及员工对股权激励的认同度较高等特点。在进行了理论回顾和实施思路分析后,本文从激励对象、购股规定、售股规定、权利义务、股权管理和操作方式等六个方面进行了股权激励设计。如何确定个人应得的股份数量是威视股份公司股权激励方案中的重点和难点,为此,威视股份公司前后设计了三种方案,分别是:以薪酬为基础的方案;以职务和服务时间为基础的方案和以贡献数据库为基础的方案。本着关注价值原则、人员分层原则、客观性和可操作性原则这四个原则,选择了以薪酬为基础的方案。最后,本文简要的分析威视股份公司股权激励实施中将遇到的阻力和如何化解阻力。
Through studying the principle of ESOP(Employee Stock Ownership Plan) and analyzes the factual state of NUCTECH, this thesis advances schemes for NUCTECH to implement the ESOP, and does analytic and selective work towards those schemes. This thesis has introduced the basic status of NUCTECH and the situation in its motivation aspect, samples 52 employees who can be representatives of company’s personnel organization and has conducted a questionnaire survey. After these, this thesis discovered some characteristics and problems of this company in motivation aspect. First of all, there is a problem of long-term insufficient motivations. Secondly, it is necessary to set up an effective motivation and restraining mechanism in order to unify the interests of the enterprise and its employees. Thirdly, employees have a high extent of identifying with ESOP, and so on. After the study of the theory of ESOP and strategies for implementation. This thesis puts forward some schemes for NUCTECH to implement the ESOP designing from six aspects such as motivated objects, share-purchasing rules, share-selling rules, obligations and rights, equity management and operational methods. How to distribute the shareholdings is entitled the emphasis of ESOP, so NUCTECH has designed three schemes in succession, they are schemes based on compensation, on function and service time, and on contribution database respectively. Focusing on the principles of value, personnel layer, objectivity and maneuverability, this thesis chooses the compensation-based scheme. Finally, this thesis synoptically analyzes the future resistances that NUCTECH will encounter in the process of implementing the ESOP and the methods to eliminate them.
